Our firm is involved with the creation and formation of economic enterprises, such as corporations, limited liability companies, partnerships and sole proprietorships. We have handled transactions that include the sale of small businesses and the transfer of equity or stock ownership in them. We have drafted shareholder and partnership organizational agreements, including shareholder and partnership Buy-Sell Agreements. We have drafted non-compete agreements. We have drafted non-disclosure agreements to protect businesses’ trade secrets from disclosure. We have worked to resolve shareholder and partnership disputes. We have worked with contractors and developers to pursue their lien rights, in the event they are not paid pursuant to their contract’s terms.
Sometimes, business disputes cannot be resolved by compromise and settlement, and they become the subject of litigation. Our firm has also represented parties in almost all facets of small business dispute litigation. We have both prosecuted and defended party litigants in cases involving non-compete and non-disclosure agreements. We have prosecuted and defended claims by shareholders or partners, either against the business entity or other equity owners. We have prosecuted and defended claims arising under Buy-Sell Agreements. Our firm has been involved with the prosecution and defense of breach of contract claims of almost all types. We have prosecuted and defended claims arising from the sale of business assets or equity. Of course, litigation over a disputed matter is the most expensive manner in which it can be resolved. But if a business or contract dispute goes that far, we can prosecute or defend the litigation.
